Terms of Use
1. The Service
PayFlow365 is an SMS-based invoicing service that allows registered small business owners to create and deliver invoices and bids by text message. By registering for PayFlow365 you agree to these Terms of Use in full.
2. Roles and Responsibilities
PayFlow365 provides a software tool for invoice generation and delivery only. Users are solely responsible for their own business operations, pricing, tax collection, customer communications, and compliance with all applicable laws and regulations. PayFlow365 does not provide accounting, legal, or financial advice. The accuracy of all invoice content is the sole responsibility of the user.
3. Eligibility
You must be at least 18 years of age to register for or use PayFlow365. You must be a legal business owner operating in the United States. By registering you confirm that you are 18 or older and that you are authorized to enter into this agreement on behalf of your business.
4. SMS Consent and Opt-Out
By registering for PayFlow365 you consent to receive transactional SMS messages including invoice approval requests, invoice confirmations, status updates, and account notifications. These messages are necessary for PayFlow365 to function.
You may opt out of SMS messages at any time by replying STOP to any PayFlow365 message. Important: replying STOP disables PayFlow365 SMS functionality but does NOT cancel your subscription or stop billing. PayFlow365 cannot operate without SMS enabled. To reactivate SMS reply START to the PayFlow365 number at any time.
To cancel your subscription and stop billing entirely you must submit a cancellation request at payflow365.com/cancel or by emailing tech@payflow365.com. See Section 7 for full cancellation terms.
5. Subscription Fee
PayFlow365 charges $29.00 per month per registered account. Your subscription begins on the date your registration is completed. You will be billed monthly until you cancel your account through the process described in Section 7.
6. Physical Mail Delivery Fee
PayFlow365 offers optional physical invoice delivery via the United States Postal Service for an additional fee of $3.50 per mailed invoice. This fee is charged at the time you confirm the mailing request.
Physical invoices are mailed from the Empowered for High-Capacity LLC office in Volga, Iowa within 5 business days of your confirmed mailing request. Empowered for High-Capacity LLC is responsible for mailing your invoice within this window. We are not responsible for delivery delays, lost mail, or failures caused by the United States Postal Service once the invoice has been physically mailed from our office.
7. Cancellation and Data Export
You may cancel your PayFlow365 account at any time with no penalty. To cancel visit payflow365.com/cancel or email tech@payflow365.com. We do not require phone calls, retention conversations, or any other steps to cancel.
Upon cancellation the following will occur within 24 hours of your request:
Your complete invoice history — including all customer names, service descriptions, amounts, dates, and statuses — will be exported and delivered to your registered email address at no charge. You own this data permanently. We do not delete or withhold it.
You will receive a confirmation email when your cancellation is complete and your data export has been sent.
Following cancellation and data export your data will be securely deleted from our systems within 30 days.
Replying STOP to a PayFlow365 SMS message is not a cancellation. It only disables SMS delivery. Billing continues until a formal cancellation is submitted as described above.
8. Your Data
You own your invoice data. We do not sell it, share it for marketing purposes, or retain it beyond what is necessary to operate your account. Upon cancellation your data is exported to you as described in Section 7.
We use third party service providers to operate PayFlow365 including Twilio for SMS delivery, Google for data storage, Anthropic for AI text processing, and Stripe for payment processing. These providers are contractually prohibited from using your data for their own purposes.

9. Payment Disputes
PayFlow365 is an invoicing delivery tool. We create and deliver invoices on your behalf but we do not process payments between you and your customers and we do not guarantee that your customers will pay. Payment disputes between you and your customers are your responsibility to resolve. PayFlow365 and Empowered for High-Capacity LLC bear no liability for unpaid invoices or payment disputes.
10. Acceptable Use
PayFlow365 may only be used for legitimate business invoicing purposes. You may not use PayFlow365 to send fraudulent, harassing, misleading, or unsolicited messages. Violation of this policy will result in immediate account termination without refund.
11. Limitation of Liability
PayFlow365 and Empowered for High-Capacity LLC are not liable for any indirect, incidental, or consequential damages arising from your use of the service including but not limited to lost revenue, unpaid invoices, or SMS delivery failures caused by carrier issues outside our control. Our total liability to you for any claim arising from your use of PayFlow365 shall not exceed the greater of $100 or the total amount you paid to PayFlow365 in the 12 months preceding the claim.
12. Changes to These Terms
We may update these Terms of Use from time to time. If we make material changes we will provide at least 30 days advance written notice by email to the address on file before those changes take effect. Continued use of PayFlow365 after that notice period constitutes acceptance of the updated terms.
13. Governing Law
These Terms of Use are governed by the laws of the State of Iowa. Any disputes arising from these terms shall be resolved in Iowa state or federal courts.
